1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, services, and products (collectively, "Services") provided by Ukify Ltd, trading as Micronatic Digital Solutions ("Micronatic", "we", "us", "our"), a company registered in England and Wales (Company No. 16885593), with our registered office at [UK Address Placeholder]. By using our Services (including but not limited to web design, Google Ads management, social media marketing, feasibility studies, and e‑commerce development), you agree to be bound by these Terms. If you are using our Services on behalf of a business, you represent that you have authority to bind that business.

2. Description of Services

Micronatic provides premium digital transformation services including custom e‑commerce development, business landing pages, PPC management (Google Ads), social media management (Facebook/Instagram), Google My Business (GMB) optimization, and business visibility studies. All service specifications, deliverables, and pricing are detailed on our Services page. We reserve the right to modify or discontinue any service with reasonable notice.

3. Payment & Fees

All fees are quoted in United States Dollars (USD) and are exclusive of any applicable taxes, levies, or duties. For one‑time projects (e.g., e‑commerce store, landing page, GMB optimization, visibility study), full payment is required before work commences unless otherwise agreed in writing. For recurring services (e.g., Google Ads management, social media growth), fees are billed monthly in advance. You authorize us to charge the selected payment method (Stripe, Payoneer, or PayPal) accordingly. Late payments may result in suspension of services.

4. Intellectual Property & Ownership

Upon full payment for any development service (website, e‑commerce store, landing page), you receive 100% ownership of the final source code, design assets, and database as delivered. Micronatic retains the right to use any pre‑existing libraries, frameworks, or proprietary tools that are licensed separately. For marketing services (Google Ads, social media), you own all campaign data, but we retain the right to anonymized performance insights. You grant us a limited license to display your project in our portfolio unless you request otherwise in writing.

5. Client Obligations

You agree to provide accurate, complete, and timely information and materials required for the performance of our Services. You are responsible for securing any necessary third‑party licenses, trademarks, or permissions for content you provide. You must not use our Services for any illegal, fraudulent, or harmful purpose (including but not limited to spam, malware distribution, or deceptive advertising).

6. Confidentiality

Both parties agree to protect each other's confidential information, including business strategies, financial data, and proprietary technical information. This obligation survives termination of these Terms for three (3) years, except for trade secrets which remain protected indefinitely.

7. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT. WE DO NOT GUARANTEE THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR THAT DEFECTS WILL BE CORRECTED. WE ARE NOT RESPONSIBLE FOR ANY LOSS OF DATA OR INTERRUPTIONS CAUSED BY THIRD‑PARTY PLATFORMS (E.G., GOOGLE, FACEBOOK).

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MICRONATIC (UKIFY LTD) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO MICRONATIC DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9. Indemnification

You agree to indemnify, defend, and hold harmless Micronatic, its directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of our Services, your violation of these Terms, or your infringement of any third‑party rights.

10. Cancellation & Termination

For monthly services, you may cancel with thirty (30) days' written notice via email to help@micronatic.com. No refunds are provided for partial months. For one‑time projects, once development has commenced or significant deliverables have been submitted, the project fee becomes non‑refundable. We may suspend or terminate your access to Services immediately if you breach any material term of these Terms (including non‑payment). Upon termination, you must pay all outstanding fees.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of laws principles. For clients located in the United States, any dispute arising out of these Terms shall first be attempted to be resolved through good‑faith negotiation. If unresolved, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA) in Charlotte, North Carolina, unless the claim is within the jurisdiction of small claims court. Either party may seek injunctive relief in any competent court to protect intellectual property or confidential information.

12. Force Majeure

Neither party shall be liable for delays or failure in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government orders, or internet infrastructure failures.

13. Modifications to Terms

We reserve the right to update these Terms at any time. Material changes will be notified via email or a prominent notice on our website. Your continued use of our Services after the effective date constitutes acceptance of the revised Terms.

14. Entire Agreement

These Terms, together with any service‑specific addenda and our Privacy Policy and Refund Policy, constitute the entire agreement between you and Micronatic regarding our Services and supersede all prior agreements.
